The Senior Counsel and Assistant Secretary will provide strategic legal guidance across PMI's business functions, focusing on governance, securities law, and corporate matters. This role involves leading legal projects, advising on regulatory filings, and supporting internal stakeholders with legal compliance and governance initiatives. The ideal candidate will demonstrate sound judgment, strategic thinking, and a collaborative approach to legal counsel.
Your 'day to day':
  • Lead legal support for SEC filings (Forms 10-K, 10-Q, 8-K).
  • Conduct research and provide guidance on SEC, NYSE, and corporate governance matters.
  • Advise on corporate governance and transactional issues for U.S. entities and subsidiaries.
  • Support shareholder engagement and governance-related research.
  • Maintain corporate records, including resolutions, consents, and certificates.
  • Administer legal documentation and data for U.S. subsidiaries.
Legal Expertise
  • Proactively identify legal risks and develop mitigation strategies.
  • Draft and review legal documents with clarity and precision.
  • Stay current with legal trends and implement best practices.
  • Maintain high ethical standards and elevate issues appropriately.

Who we're looking for:
  • Juris Doctor; licensed to practice law in a PMI jurisdiction.
  • 8-10 years of experience in securities, corporate, and transactional law.
  • Experience in both in-house and major law firm settings preferred.
  • Strong understanding of government policy and regulatory frameworks.
  • Exceptional interpersonal, communication, and leadership skills.
  • Proven strategic thinking and sound judgment.
  • Ability to manage complex projects and lead cross-functional teams.
  • High attention to detail and confidentiality.
  • Willingness to travel as needed.
  • Deliver high-quality legal counsel aligned with business goals.
  • Maintain confidentiality and handle sensitive information with care.

Annual Base Salary Range: $181,500-$242,000
