A law firm seeks a driven Corporate M&A and Private Equity Associate to join its team in Miami, FL. This role offers a unique opportunity to work on sophisticated corporate transactions, including mergers, acquisitions, and private equity deals. The successful candidate will be an integral part of a high-performing legal team, advising clients on complex matters and ensuring seamless execution of strategic transactions.

Duties:

Prepare, negotiate, and review legal documentation for mergers, acquisitions, and private equity transactions.
Conduct comprehensive due diligence to identify and mitigate legal risks.
Advise clients on transaction structures, regulatory compliance, and corporate governance.
Collaborate with multidisciplinary teams to facilitate the successful completion of transactions.
Monitor project timelines, ensuring adherence to deadlines and deliverables.
Stay informed of legal and industry trends impacting corporate transactions.

Requirements:

3 to 7 years of experience in transactional law, with a focus on M&A and private equity.
Exceptional analytical, drafting, and research abilities.
Strong project management skills, with the ability to handle multiple complex matters simultaneously.
Demonstrated ability to communicate effectively with clients and team members.

Education:

Juris Doctor degree from an ABA-accredited law school.

Certifications:

Membership in the Florida Bar or eligibility for prompt admission.

Skills:

Expertise in corporate law, deal structuring, and transactional compliance.
Advanced negotiation skills with attention to detail in drafting and analysis.
Proficiency in managing client relationships and addressing their strategic needs.
